                        <title>NLFI Progress Report 2026</title>

                        <guid>https://newsroom.asnbank.nl/en/nlfi-progress-report-2026/</guid><pp:caseid>757284</pp:caseid><pp:summary><![CDATA[<p>On 8 June 2026, the Dutch Minister of Finance, Eelco Heinen, sent a letter to the House of Representatives reporting on the progress made by ASN Bank in 2025.&nbsp; The report makes clear that ASN Bank made good progress in 2025 with the transformation that began in 2024. Concrete results have been achieved in becoming a more efficient and agile organisation that is better able to respond to changing customer needs, regulations and technological developments. The bank has thus taken major steps towards becoming a future-proof organisation.</p>]]></pp:summary><description><![CDATA[<p>In this context, the extensive remediation programmes for Anti-Financial Crime (AFC) and risk management are also crucial. The bank’s strengthened capabilities mean it can respond more quickly and effectively to the needs of its three million customers, improve data quality and IT systems, and comply on a structural basis with increasing legislation and regulations.&nbsp;</p><p>ASN Bank acknowledges the observations and views set out in the progress report. These provide a clear picture of our progress and of the challenges and objectives for the coming period. In terms of implementing the transformation, the formal launch of ASN Bank and the new organisation on 1 July 2025 was a significant milestone, followed by the presentation of the <a href="https://newsroom.asnbank.nl/en/asn-bank-adopts-new-strategy-simplify-and-grow/" target="_blank">new ‘Simplify and Grow’ strategy</a> in November .&nbsp;</p><p>This also marked the start of the next phase of the transformation, which is taking place mainly ‘under the hood’ primarily in the areas of IT organisation and data management. At the same time, ASN Bank is still working hard to remedy the identified shortcomings in anti-money laundering and risk management.&nbsp;</p><p>Our focus remains on the rapid implementation of the transformation and the priorities of AFC remediation and risk management, with the most significant steps to be taken by the end of 2026.&nbsp;</p><p>Finally, NLFI notes that ASN Bank is not yet ready for a decision on privatisation. ‘Although ASN Bank has made progress over the past year, NLFI does not expect to reach a different conclusion in 2026,’ the shareholder concludes in its report.&nbsp;</p><p>ASN Bank is keen to continue the dialogue with NLFI regarding its future.                         <title>Stefanie Citroen on Defence, Dilemmas, and Sustainability Policy</title>

Geopolitical tensions are rising, and NATO members have agreed to increase defence spending in the coming years. This also raises questions in the Netherlands about security, resilience, and about the role that financial institutions can play here.</span><br><br><span>So how does ASN Bank view this situation? How does defence relate to our sustainability policy? Where have boundaries been set, and where is there room to contribute? Head of Sustainability Stefanie Citroen answers questions on this subject and explains how ASN Bank navigates sustainability policy in a changing world—remaining a sustainable bank, but always with an eye on today’s realities.</span></p>]]></pp:summary><description><![CDATA[<p><strong>Stefanie, we are seeing geopolitical tensions around the world and NATO is set to structurally increase annual defence spending. How do you view this situation?&nbsp;</strong><br>“Geopolitically, we are living through extraordinary times. After a long period of relative stability, security has suddenly become a key issue again. This is evident in rising international tensions, but also in the agreements made by NATO members to structurally increase defence spending in the coming years.&nbsp;<br><br>These developments not only affect governments. Both government and society are looking more closely at the role banks can play in contributing to security and resilience. This is a question that has also been asked of ASN Bank, and it prompted us to reiterate our position—not through changing our policy, but by clearly explaining what we do and why.&nbsp;<br><br>It's important to properly define the concept of defence. Defence is not just about weapons, it is also about the resilience of society as a whole, including good infrastructure, the supply of energy, water safety, and cyber security. Under that broad definition defence relates directly to sustainability, for which ASN Bank is a strong advocate. At the same time, it raises the issue of how these developments—particularly calls for arms financing—relate to our sustainability policy.”&nbsp;<br><br><strong>So, Will ASN Bank now start financing arms?&nbsp;</strong><br>“That’s a logical question, but the answer is an unequivocal ‘no’. Our sustainability policy remains unchanged. Protecting human rights continues to be a core principle in everything we do.&nbsp;<br><br>Directly investing in arms companies means we cannot ensure we won’t become involved in human rights violations. That’s why we do not finance companies engaged in the development, production, or trade of arms. It means we do not lend to or invest in listed arms companies. As mentioned, with these kinds of investments we cannot completely rule out being complicit in serious human rights abuses, which is a risk we are unwilling and unable to take.&nbsp;<br><br>This position is also consistent with our business model as a retail bank. At the same time, it does not mean we are ignoring reality or not making a contribution.”&nbsp;<br><br><strong>What scope is there for making a responsible contribution?&nbsp;</strong><br>“That scope lies in indirect financing, such as in government bonds. ASN Bank and ASN Impact Investors have a long record of investing in bonds issued by countries that meet our stringent sustainability criteria. By doing so, we support government spending, which may include defence-related areas. This approach helps enable countries to better defend themselves.&nbsp;<br><br>We carefully select these countries based on a process with various steps. The first step is to apply exclusion criteria, which for example includes countries that have not signed the Paris Agreement, use controversial weapons, or violate fundamental human rights. The remaining countries are then assessed using a points-based system.&nbsp;<br><br>In practice, this means some countries that could be financially attractive are nonetheless excluded. The countries we do invest in are mostly Western European nations, such as the Netherlands and Germany. This way we make sure our indirect contributions to defence are limited to countries that respect human rights.”&nbsp;<br><br><strong>Where else can ASN Bank invest?&nbsp;</strong><br>“As mentioned, it’s important to emphasise that a significant part of defence spending is devoted to products and services that are not used directly for combat, or products with both military and civilian applications. These are referred to as ‘dual-use’ products, such as communication systems and computer chips.&nbsp;<br><br>When considering investments in these areas, we always carefully assess whether we have sufficient oversight regarding their use and application. This distinction is crucial. With arms manufacturers, we don’t know whose hands their products might end up in and how they’ll be used, which entails an unacceptably high risk of involvement in human rights violations.&nbsp;<br><br>However, for products and services without combat applications, or that have dual-use purposes, the situation is different. Here, we can more reliably determine whether they meet our sustainability criteria, which means investment is possible.”&nbsp;<br><br><strong>And looking beyond ‘defence’, how would you describe ASN Bank’s sustainability policy in 2026?&nbsp;</strong><br>“Our sustainability policy is clear and consistent. We continue to be fully committed to sustainability and the protection of human rights, and we only contribute to security and resilience in ways that align with these principles.&nbsp;<br><br>We don’t shy away from developments in a changing world, but instead consciously choose how we make our contribution. Not by pushing boundaries, but by acting clearly and responsibly within them. In doing so, we demonstrate that sustainability and security are not at odds but are mutually reinforcing. The main conclusion of the letter was to confirm that the transformation initiated by ASN Bank (in 2024 still operating as de Volksbank) is necessary to strengthen the bank’s commercial and operational clout. In this respect, the extensive remediation programmes for Anti-Financial Crime (AFC) and risk management are also crucial. As a result of the transformation, the bank will be able to respond faster and more effectively to the needs of its three million customers, improve data quality and IT systems, and ensure compliance with increasing laws and regulations.</p>]]></pp:summary><description><![CDATA[<p>We recognise the observations and views set out in the progress report, which give a clear view of our progress and of the challenges and objectives for the period ahead. In terms of implementing the transformation, the official launch of ASN Bank and the new organisation on 1 July was a key milestone. The initiatives deployed to improve our operations, particularly in the area of customer integrity, data management and data quality and our IT foundation, have been given high priority to strengthen the bank’s operational and financial robustness. It gives a clear view of our progress and of the challenges and objectives for the period ahead. The Minister is thus giving substance to the process to come to a directional decision about the future of de Volksbank as announced by his predecessor. The Minister does emphasise that, given the cabinet’s outgoing status, the actual directional decision is up to his successor.</span></p>]]></pp:summary><description><![CDATA[<p><span>The Ministry of Finance’s exploration of the future options conducted in 2021 is the basis for the analysis in two phases as a prelude to a directional decision. Based on the previous public interests analysis of 27 October 2023, the Ministry of Finance concluded it sees no need in the market to justify a permanent State participation in a bank. In its advice to the Minister of Finance published today, our shareholder NLFI assesses the five outlined options for the future for feasibility to come to a selection of realistic future scenarios for de Volksbank. In this process, NLFI also asked de Volksbank for its views.</span></p><p><span>At de Volksbank, we ​​particularly appreciate that we were given the opportunity to share our views with NLFI. De Volksbank concurs with the analysis drawn up by NLFI and the resulting advice as a basis for further political decision-making. In general terms, NLFI assesses two future options as realistic: a private sale or an initial public offering (IPO). This is in line with our own analysis and conclusion, although on closer inspection there are also differences, such as securing our social profile in the governance in advance and the vision of a possible sale in parts, noting that NLFI qualifies the latter option by pointing out that it does not necessarily recommend this, but does not want to rule it out in advance either.</span></p><p><span>In our response to NLFI, we have drawn attention to the social profile of de Volksbank and, therefore, our distinctive character in the financial sector. We see our views and arguments reflected in NLFI’s advice. The analysis thus mirrors the dialogue with our shareholder NLFI about our future. As far as de Volksbank is concerned, we ​​look forward to continuing this constructive dialogue. Saskia’s term of office will expire at the 2028 General Meeting of Shareholders. She led the integration of commercial real estate bank FGH Bank where she was CEO. Prior to that, Saskia ran the global restructuring department at Rabobank and served as Regional Director Commercial Banking in Southern Netherlands. Chief Executive Officer Martijn Gribnau and Chief Risk Officer Jeroen Dijst have informed the Supervisory Board not to be available for a second and third term in office respectively. Martijn Gribnau and Jeroen Dijst will complete their current terms, which will expire at the General Meeting of Shareholders in April 2024. The Supervisory Board has started the recruitment process for the succession of both positions.</span></p>]]></pp:summary><description><![CDATA[<p><span>Martijn Gribnau looks back with pride on his term at de Volksbank: “Together with the support of all our committed colleagues we managed to strengthen the relationship with our customers and increase our social impact. It is good to see this confirmed in surveys into the most customer-friendly bank in the Netherlands in which our brands were ranked in the top 3 for two years in a row. Our consistently high scores in the Fair Bank Guide too, confirm this. At the same time, I am realistic enough to see that additional efforts are needed, for example, to further improve our IT systems and data quality, and that we have to do everything we can to meet the requirements placed on us as gatekeeper of the financial system as quickly as possible.</span></p><p><span>These past years were eventful and intense. Working long hours was gratifying, but at the same time has taken a toll on my private life. We have set a lot in motion in recent years and as a change manager, I am proud of the innovations we have realised and on which the bank can build.                         <title>De Volksbank creates the position of Chief FEC Officer in the Executive Committee</title>

The CFECO will be responsible for performing the role of gatekeeper in combating financial crime. By creating this position the bank is reinforcing the safeguarding of Know Your Customer (KYC)-related measures, including sanctions screening and transaction monitoring, will be applied to effectively combat money laundering and the financing of terrorism.</span></p>]]></pp:summary><description><![CDATA[<p><span>The recruitment and selection process for the position of CFECO has commenced. Until the position has been filled, Martijn Gribnau (CEO) will be responsible for KYC and for the Customer Integrity Remediation Plan as from 1 November.</span></p><p><span>As a consequence of this change in the Executive Committee, the position of Chief Transformation Officer (CTO) will cease to exist. CTO Marjolein de Jongh is responsible for the transformation of de Volksbank into an agile bank and also has KYC in her portfolio. By mutual agreement, she will resign from her duties as from 1 November 2023. She will remain attached to de Volksbank as an adviser to the CEO and Chair of the Supervisory Board until 1 May 2024. The Executive Committee of de Volksbank thanks Marjolein for her contribution to de Volksbank and wishes her well for the future.</span></p><p><span><strong>Composition of the Executive Committee</strong></span><br><span>As from 1 November 2023, the Executive Committee will consist of seven members. Martijn Gribnau (CEO), André Haag (CFO), Jeroen Dijst (CRO) and Marinka van der Meer (CCO) are the statutory members. In addition three non-statutory members serve on the Executive Committee, namely Jacqueline Touw-Conradi (CPOO), Michel Ruijterman (CIO) and a vacancy for the CFECO.                         <title>EBA publishes results of the 2023 EU-wide stress test</title>

                        <guid>https://newsroom.asnbank.nl/en/eba-publishes-results-of-the-2023-eu-wide-stress-test/</guid><pp:caseid>582777</pp:caseid><pp:summary><![CDATA[<p><span>De Volksbank was subject to the 2023 EU-wide stress test conducted by the European Banking Authority (EBA), in cooperation with the European Central Bank (ECB), national competent authorities and the European Systemic Risk Board (ESRB).</span></p>]]></pp:summary><description><![CDATA[<p><span>The stress test assessed the solvency of EU banks in an adverse macroeconomic scenario over a three-year horizon (2023-2025) and whether their capital levels are sufficient to ensure they can support the economy in periods of severe stress. The results provide input for the Supervisory Review and Evaluation Process (SREP) for the competent supervisory authorities. The stress test did not contain a pass or fail threshold.</span></p><p><span>The adverse stress test scenario was carried out applying a static balance sheet assumption as at December 2022, and therefore does not take into account a bank’s future growth or management actions. In addition, the bank’s net interest income was capped at the 2022 level.</span></p><p><span>The adverse scenario assumes a worsening of geopolitical tensions leading to a severe decline in GDP with persistent inflation and high interest rates. This scenario is designed to ensure a significant severity of various macroeconomic and financial shocks across all EU countries. For example, the assumption with respect to Dutch house prices was a cumulative 32% decrease up to 2025.</span></p><p><span>The starting point of the stress test for de Volksbank, was a year-end 2022 CET1 capital ratio of 20.26%. Under the baseline scenario and EBA’s methodological instructions, de Volksbank would have a CET1 capital ratio of 18.91% in 2025. Under the adverse scenario, our CET1 capital ratio would stand at 10.01% in 2025. Our current overall CET1 capital requirement stands at 10.69%, implying partial use of the capital buffers. The goal of the plan is to achieve a ‘net zero’ balance sheet* by 2050, or sooner if possible. The CAP is one of the elements of the Dutch financial sector’s Climate Commitment, to which de Volksbank committed itself in 2019.&nbsp;</span></p>]]></pp:summary><description><![CDATA[<p><span>The Climate Action Plan consists of five main activities:</span></p><ul><li><span>Further reduce greenhouse gas emissions from the residential mortgage portfolio;</span></li><li><span>Reduce greenhouse gas emissions from the SME portfolio;</span></li><li><span>Continue to finance renewable energy projects;</span></li><li><span>Finance projects that remove CO<sub>2</sub> from the atmosphere by, for instance, forests and regenerative agriculture;&nbsp;</span></li><li><span>Continue to draw attention to the climate crisis and (inter)national partnerships inside and outside the financial sector towards solutions.</span></li></ul><p><span>These activities will be elaborated in 2023. (de Volksbank) paid the remaining dividend for 2019 and the dividend for 2020 to its shareholder Stichting administratiekantoor beheer financi&euml;le instellingen (NLFI). This is in accordance with the announcement in de Volksbank&rsquo;s Interim Financial Report 2021 of 13 August 2021. The dividend payment is made only now because earlier the European Central Bank (ECB) had recommended to exercise extreme prudence on dividends during the Covid-19 pandemic. Jeanine Helthuis was nominated for appointment by the Works Council of de Volksbank under its reinforced right of recommendation. Their term of office will run until the General Meeting of Shareholders of 2025. The appointments have been approved by the supervisory authorities.</p>]]></pp:summary><description><![CDATA[<p>Jeanine Helthuis has broad managerial experience at leading Dutch service providers. She has held various board and senior management positions at several companies in the logistics sector and in the financial services industry. Jeanine is currently Managing Director at Van Doorne, a Dutch law firm. She is also a member of the Supervisory Board of ProRail and was a member of the Supervisory Board of Van Lanschot Kempen until May 2021.</p><p>Petra van Hoeken has extensive managerial and banking experience with Dutch and international banks. As Chief Risk Officer, Petra was a member of the Managing Board at various banks including Rabobank and NIBC. Petra holds supervisory functions in the financial sector and in this context she is a supervisory board member of Nordea and the Nederlandse Waterschapsbank.</p><h2>Changes in committee chairmanships</h2><p>Petra van Hoeken will be the Chair of the Risk & Compliance Committee (R&CC) and join the Audit Committee (AC) as a member. She takes over the chair from Jos van Lange who has been appointed Chairman of the AC with effect from 20 September 2021 and will remain on the R&CC as a member. Jeanine Helthuis will chair the People and Organisation Committee and join the R&CC as a member.</p><p>Gerard van Olphen, Chairman of the Supervisory Board of de Volksbank: “I am happy to welcome our new Supervisory Board members Jeanine Helthuis and Petra van Hoeken, and I am glad that Jos is taking the reins as Chairman of the Audit Committee. This acquisition is in line with the bank’s 2021 – 2025 strategy to strengthen customer relationships. Accordingly, de Volksbank expands its services with a complementary service in its core activity ‘housing’, thus contributing to income diversification.</p>]]></pp:summary><description><![CDATA[<h2>Joining forces to contribute to improving service levels in mortgage advice</h2><p>De Volksbank mortgage advisers indicate that customers have a strong preference for being able to complete the entire mortgage application process with the same adviser as much as possible (one-stop shopping). The acquisition makes it possible for, inter alia, SNS to expand its leading role in the loan application process. To ensure independence, a clear distinction is maintained between the role of mortgage provider and the role of customer service manager. At present, customers often have to arrange the property valuation as part of the mortgage application themselves. Fitrex takes care of this process: from valuation request to submission of the valuation report to the adviser. This makes the mortgage process easier and faster for customers, and allows for a fixed and competitive valuation rate.</p><p>By making Fitrex’s services an integral part of the mortgage advice process, the acquisition offers benefits to customers and advisers alike. It also provides opportunities for new additional services, such as 'desktop valuations' (an online estimate of a home’s value), which meet the conditions of the applicable regulations (EBA guidelines). Expansion to include valuations for commercial mortgages is another possibility.</p><p>The acquisition of Fitrex does not require approval by the supervisory authorities and has no material impact on de Volksbank’s financial position and earnings. In the spring of 2021, he stepped down as Chairman of the Executive Board of APG, the Dutch pension investor. Prior to that he was Chairman of the Executive Board of SNS REAAL and, after the split up, he briefly served as Chairman of insurance company Vivat, acquired at the time by the Anbang Insurance Group. Earlier in his career he held the positions of CFRO and Vice-Chair of the Executive Board of Achmea, CEO of NIBC Asset Management and member of the Executive Committee of NIB Capital. From 1991 to 2001, he held several policy-making positions at SNS REAAL, including that of CEO of REAAL.</p><p>Gerard van Olphen succeeds Jan van Rutte who, on 11 March of this year, announced to step down early as Chairman of the Supervisory Board as soon as a successor had been appointed.</p><p>Jan van Rutte, outgoing Chairman of the Supervisory Board of de Volksbank: “I am pleased that Gerard van Olphen is succeeding me as Chairman of the Supervisory Board. The results of this stress test will be used by the ECB as input in the upcoming Supervisory Review and Evaluation Process (SREP).</p><p>Applying the assumptions and methodological restrictions of the stress test’s adverse scenario, de Volksbank’s Common Equity Tier 1 (CET1) capital ratio at year-end 2023 would end up in the highest range of ≥ 14%, as used by the ECB, and would remain amply above our SREP CET1 capital ratio requirement of 9.41%. The notes have a term of 5 years and a coupon of 0.25%. It is de Volksbank’s second issuance of SNP notes, following a first issuance of € 500 million with a term of 7 years, in February 2021.</strong></p>]]></pp:summary><description><![CDATA[<p>The SNP notes were issued under de Volksbank’s Green Bond Framework 2021, which is aligned with the EU Taxonomy. De Volksbank considers green bonds as an effective tool to channel investments to assets that have demonstrated climate benefits and contribute to the achievement of the UN Sustainable Development Goals and EU Objectives. With its green finance strategy de Volksbank aims to diversify its investor base, targeting socially responsible and strongly committed sustainable investors, while fostering the relationship with existing investors.</p><p>The second issuance of € 500 million of SNP notes is in line with de Volksbank’s capital planning, which starts from the assumption that the minimum non risk-weighted MREL requirement of 8% must be fully composed of CET1 capital and subordinated liabilities (Tier 1 capital, Tier 2 capital and SNP notes) as from 1 January 2024. ]]></pp:summary><description><![CDATA[<p>At the GMS, NLFI - in addition to adopting the financial statements for 2020 - agreed to de Volksbank&rsquo;s proposal to pay out a dividend of &euro; 104 million to be charged to the result for 2020. Given the current uncertainty surrounding the coronavirus the dividend will, on the recommendation of the ECB, not be paid out before 1 October 2021.</p><p>NLFI also agreed to a payment on 22 April 2021 of a partial amount of &euro; 20 million of the &euro; 165 million dividend distribution for the 2019 financial year as declared at the GMS in 2020. The balance of &euro; 145 million will not be paid out before 1 October 2021.</p><p>Furthermore, the terms of office of Monika Milz and Sonja Barendregt-Roojers as members of the Supervisory Board expired today in conformity with the rotation schedule. Both supervisory board members have indicated not to be available for reappointment.</p><p>Monika Milz joined the Supervisory Board of SNS REAAL N.V. on 1 November 2013, was then appointed supervisory board member of de Volksbank on 30 September 2015, and reappointed on 20 April 2017. Monika thus served two terms in office as supervisory board member of de Volksbank. The Corporate Governance Code used by de Volksbank starts from two terms of appointment. The negative interest rate is calculated per individual retail current, savings and investment account. The limit was previously set at € 250,000.</strong>&nbsp;</p>]]></pp:summary><description><![CDATA[<p>The adjustment is being made because of the continuing low and negative interest rates in the financial market. In many cases, the Volksbank pays interest on liquidities deposited with financial institutions, such as the European Central Bank.</p><p>Despite a historically low interest rate, customers continue to save. We see an increase in savings during the COVID-19 pandemic. De Volksbank and its bank brands SNS, ASN Bank and RegioBank value the fact that customers can continue to save to maintain buffers for unforeseen expenses.</p><p>Up to a balance of € 25,000 retail customers will receive a variable interest rate of 0.01%. Signing the Standards of Conduct fits in well with this. The initiator of signing the standards was ASN Bank, which together with bank brands SNS, BLG Wonen and RegioBank, is part of de Volksbank. The notes have a term of 10.25 years and a coupon of 1.75%. Investors subscribed for an amount of more than € 1.75 billion. There was a very strong participation from ESG investors who got allocated 73% of the transaction.</strong></p>]]></pp:summary><description><![CDATA[<h2>Sustainability objective</h2><p>De Volksbank wants to make a relevant and positive contribution to society, with a focus on sustainability and financial resilience. By issuing subordinated Tier 2 green bonds, de Volksbank is adding a new element to its value chain. An amount equal to the net proceeds of the green bonds will be allocated to an Eligible Green Loan Portfolio of new and existing loans that contribute to our climate neutral balance sheet through reduced or avoided emissions. This is consistent with our aim for a 45% climate-neutral balance sheet by 2020, rising to 100% by 2030.</p><h2>Green Bond Framework</h2><p>The subordinated Tier 2 green bonds were issued under de Volksbank's Green Bond Framework. Martijn currently holds the positions of Chief Transformation Officer and Chief Operations Officer, Life and Long Term Care Insurance at Genworth Financial, a US-based financial services provider (a Fortune 500 company).</p><p>The Supervisory Board is very grateful to Maurice for his contribution to the practical implementation of de Volksbank’s social role. “Since his appointment as Chairman of the Board in 2015, Maurice has steered the bank into calmer waters and has led de Volksbank with great commitment and enthusiasm. The appointment of Martijn Gribnau has been approved by the supervisory authorities.
